Job Overview
Our client is a global company at the forefront of the MENA region's energy transition, particularly in the field of photovoltaic technology. They seeking a highly motivated and skilled Legal Counsel with 4 - 6 PQE to join their legal team. This role is critical in supporting their ambitious growth plans, which involve complex, high-value investments and a path towards public markets. The ideal candidate will be a commercial-minded legal professional ready to handle a broad spectrum of corporate and commercial matters.

Responsibilities
Draft, review, and negotiate a wide range of investment agreements, with a particular focus on sophisticated transactions involving sovereign wealth funds and other major financial institutions.
Provide comprehensive legal support for future IPO processes, ensuring compliance with all regulatory requirements.
End-to-end commercial legal support, including but not limited to:
Project development and engineering, procurement, and construction (EPC) contracts;
Supply chain and manufacturing agreements for PV components;
Operations and maintenance (O&M) agreements;
Offtake agreements (PPAs);
Sales and distribution contracts, etc.
Requirements
Exceptional business acumen, with the ability to provide practical, solution-oriented legal advice.
Outstanding communication and interpersonal skills, with the ability to work effectively in a multicultural environment.
Fluent in English; proficiency in Arabic or Chinese is advantageous.
Smart, willing to learn, and able to quickly pick up complex corporate transactions.
Qualifications
A qualified lawyer with 4+ PQE, gained from a reputable law firm and/or in-house at a multinational corporation.
Preferably with exposure to investments involving sovereign funds, private equity, or infrastructure projects.
Direct experience in, or strong exposure to, the capital markets/securities laws pertaining to a public listing is highly advantageous.
Solid background in drafting and negotiating complex commercial contracts.
Experience in the energy, infrastructure, or industrial manufacturing sectors is a significant plus.
